1. Introduction

Welcome to Motorpalz.

These Terms of Service ("Terms") govern your access to and use of our website (motorpalz.com), our mobile app, and related services (together, the "Platform" or "Services"). The Platform is operated by Mille Pour Cent S.A.R.L., a company registered in Burkina Faso (the "Operator", "we", "us" or "our"). We may transfer the operation of the Platform to another entity within our corporate group or to a successor. If we do, we will notify you and the successor will take over our rights and obligations under these Terms.

By accessing or using the Platform, you accept these Terms and agree to be bound by them. If you use the Platform on behalf of a business, you confirm that you have authority to bind that business. If you do not agree, do not use the Platform.

2. Definitions

"User", "you" means any person or entity using the Platform.
"Individual User" means a person acting in a personal capacity, for example a private seller or buyer.
"Business User" means a user acting for a company, dealership, rental company, exporter, garage, equipment provider or other professional.
"Listing" means a vehicle, equipment item or service posted on the Platform for sale, rent or export.
"Profile" means the public page for an Individual or Business User.
"Content" means any text, images, media, documents or other material submitted or displayed on the Platform.
"Sponsored Content" means promotional placements paid for by a third party and shown on the Platform.
"Package" means a one-time allowance granted or sold to a User for a stated period, which sets how many listings can be live at once and may include other features.

3. Eligibility and Accounts

Browsing is open to everyone. An account is required to create listings, save favorites, manage collections, apply for a business profile, submit reports and use other account features.

By creating an account or using the Platform, you confirm that:

you are at least 18 years old or the age of legal majority where you live;
you have the legal capacity to enter into these Terms; and
you will comply with all applicable laws.

You are responsible for keeping your login details confidential and for all activity under your account. Tell us immediately at support@motorpalz.com if you suspect unauthorized use. We may suspend or terminate accounts that violate these Terms or put the Platform or other users at risk.

4. User Types

4.1 Individual Users

Individual Users may browse, post listings for sale or rent, save favorites and collections, and be contacted by interested buyers through call or WhatsApp buttons on their listings. Export listings are reserved for Business Users (see Section 9.2). Individual User profiles are shown through their active listings and are not listed in the business directory.

4.2 Business Users

Business Users may apply for a Business Profile and, once approved, may publish a public profile, post and manage listings, and use additional features that depend on their Package. Business Profiles appear in the business directory once they are verified (see Section 10.2). Each User is responsible for ensuring that their information is accurate, lawful and current.

Administrators and moderators who operate the Platform for us are not "Users" for the purposes of these Terms.

5. Platform Services

The Platform lets Users:

Browse and search vehicle listings (cars, buses, trucks and machinery) with filters and sorting;
Create listings for sale, rent or export, subject to review before publication;
Manage profiles, personal or business;
Save favorites and collections;
Contact sellers through call and WhatsApp buttons;
Share listings and business profiles through links and QR codes;
Use the app and website in English and French.

There is no in-app messaging or chat. Calls and WhatsApp conversations happen outside Motorpalz, through your phone and WhatsApp, and are governed by their own terms. We do not host, see or moderate those conversations.

We may add, change or remove features, and we may suspend or restrict all or part of the Platform for business, operational, legal or technical reasons. We do not guarantee that any feature will always be free or available without an account.

6. User Responsibilities

You agree that:

everything you submit (listings, profile details, contact information, photos) is truthful, accurate and up to date;
you are solely responsible for your Content, and you have all rights, licences and permissions needed to post it;
you will promptly correct or remove inaccurate or outdated information;
you will keep your login details confidential; and
you will use the Platform in compliance with these Terms and all applicable laws.

Motorpalz does not take part in transactions between Users. You are solely responsible for any agreements, payments, inspections, shipping and communications with other Users. We strongly encourage you to inspect any vehicle, verify documents and ownership, and take care when sending money.

7. Acceptable Use and Objectionable Content

To keep Motorpalz safe and trustworthy, you must not:

post anything false, misleading, deceptive or fraudulent;
post or promote illegal, stolen, counterfeit, cloned or prohibited vehicles, parts or products;
break laws or regulations, including those on exports, imports, customs, vehicle ownership or registration, or sanctions;
impersonate any person or business, or misrepresent your identity, affiliation or authority;
post or send content that is offensive, hateful, discriminatory, obscene, sexually explicit, violent, threatening, harassing or abusive;
spam, solicit, or run off-platform promotions through listings or profiles;
interfere with or disrupt the Platform, or try to access data or systems without authorization;
upload viruses or other harmful code;
scrape or harvest data from the Platform, or copy, resell or exploit it commercially without our written consent;
circumvent access controls, security measures, listing limits or Package restrictions; or
use the Platform if you are under 18.

7.1 Listing content rules

Each listing must represent a single, specific vehicle or item.
Do not upload composite images of multiple vehicles or unrelated products.
Do not add text, watermarks or promotional overlays to listing images.
Titles and descriptions must reflect the vehicle accurately and must not include unrelated offers, advertisements or off-platform contact details.
Misleading, duplicate or irrelevant listings may be removed.

7.2 Fair use of listings and Packages

Use your listings and Package allowances in good faith. When a listing leaves the marketplace (for example because it is sold, deleted or made private), its place in your Package is freed and you may use it for a different vehicle. You must not use this to game the Platform, for example by deleting and re-posting the same vehicle so it appears new, posting duplicate listings, or replacing a published listing's details with a different vehicle. We may monitor for misuse and take action, including removing content, suspending or terminating the account, and withdrawing the Package.

8. Reporting, Moderation and Enforcement

Every listing, profile and business can be reported from within the app. Anyone can also report content or conduct to support@motorpalz.com. Reports are reviewed by our team and we act where appropriate.

Listings and business profiles are reviewed before they are published, and we may review, restrict, edit or remove any Content or account at any time, with or without notice, if we believe it violates these Terms, the law, or the rights of others. We may suspend or ban Users who commit serious or repeated violations. Where we remove content or restrict an account, you can contact us at support@motorpalz.com to ask for a review.

Moderation is a good-faith effort and not a guarantee. We are not obliged to review all Content, and we cannot guarantee that every violation will be found.

9. Listings and Transactions

9.1 Creating and managing listings

Only registered Users may create listings, and publishing a listing requires an active Package with a free place (see Section 12).
You must have the legal right to sell, rent or export the vehicle or item.
Listings must comply with these Terms, including the Acceptable Use rules.
You are responsible for the accuracy of price, description, photos, location and contact details.
We may ask you to prove ownership or support any detail in your listing. If you do not respond within a reasonable time, we may remove the listing without further notice.

9.2 Export listings

Export listings are available only to verified Business Users that are based outside Africa, and may be used for sale listings only. Exporters choose the African countries they serve on their business profile. Exporters are responsible for complying with all export, import, customs, licensing and sanctions rules that apply to their sales.

9.3 Visibility and contact

Listings are public and may be indexed by search engines. Each listing shows contact options (call or WhatsApp). By posting a listing you consent to being contacted through the contact details you provide.

9.4 Transactions

Motorpalz is not a party to any transaction between Users. We do not buy, sell, rent, ship, inspect or guarantee any vehicle, equipment or service listed on the Platform, and we are not responsible for Listings or for what Users do. Negotiations, payment, delivery and import or export formalities are entirely between the Users involved.

10. Business Profiles and Verification

10.1 Business account requirements

To create a Business Profile you must represent a real business and provide accurate information, such as company name, address, contact details and registration number where applicable. We may request documents, review your online presence, and approve or refuse a profile at our discretion.

10.2 Public visibility

Approved Business Profiles are public and can be opened from their listings and shared links. Only verified Business Profiles are shown in the public business directory. Contact details you publish (phone, WhatsApp, website or map links) are visible to everyone. Businesses must keep their profile current and make sure all associated listings follow these Terms.

10.3 Verification

Verification is optional and reviewed by our team. Verified profiles may display a verified badge. Verification means only that certain business or identity information has been reviewed. It is not an endorsement, certification or guarantee of the business, its listings, or any transaction.

10.4 Business conduct

Businesses must act honestly and professionally. Misleading Users, posting false information, or impersonating another business can lead to suspension, removal of the badge, or a ban.

11. Sponsored Content

The Platform may show Sponsored Content, such as banners or featured placements paid for by businesses. We mark Sponsored Content as sponsored.

Sponsored Content is provided by advertisers. Motorpalz does not own, verify or endorse the offers, products, services or claims in it, and is not responsible for them.
Any dealings you have with an advertiser, including after tapping a sponsored placement and visiting the advertiser's content or website, are solely between you and the advertiser and are subject to their terms and policies.
Sponsored placements are not a recommendation, a guarantee of quality, or a substitute for your own checks.
If you believe Sponsored Content is misleading, unlawful or inappropriate, please report it to support@motorpalz.com.
How we handle data for sponsored placements is described in our Privacy Policy.

Advertisers are responsible for their Sponsored Content and must comply with applicable advertising and consumer-protection laws.

12. Packages

Some features depend on Packages, which control things such as the number of active listings and may include features such as photos per listing, promotion options and analytics. Packages are one-time and valid for a fixed period stated when granted or sold, and they do not renew automatically.

Listings are reviewed before publication. Submitting a listing for review reserves a place in an active Package, and that place is freed if the listing is rejected, sold, deleted or otherwise removed from the marketplace.
A Package covering a single listing may need to be used by a stated date. If it is not used by then, it expires.
When a Package ends, any grace period stated for it applies first. After that, the listings it covers expire and are removed from the marketplace, and listings still waiting for review are returned to you without being published. They can be published again with another active Package.
We may grant Packages free of charge, offer them at a discount, or offer them only by invitation, and such Packages may have different limits, benefits or validity. They may be changed, limited or withdrawn as set out when they are granted.
Packages are personal to the account they are granted to and cannot be transferred or resold without our consent.
Package limits and features are shown to you in the Platform or confirmed to you by us.
Any Package that is sold will show its price and terms before you buy it. We will only charge you through payment methods that we make available and tell you about at the time. We are not responsible for failed or insufficient payments.
Except where the law requires otherwise, payments for Packages and promotions are non-refundable once the Package has been activated or delivered. We may consider refunds in exceptional cases at our sole discretion.
You are responsible for any taxes, duties or charges that apply to your purchase.
We may change prices, Packages and payment methods in the future. Changes do not affect a Package that has already been granted or bought, for its stated period.

13. Intellectual Property

13.1 Our rights

The Platform, including its design, software, databases, trademarks, logos and the content we create, belongs to us or our licensors and is protected by intellectual property laws. You may use the Platform only for its intended purpose, and you must not copy, modify, distribute or create derivative works from any part of it, or use our marks, without our written permission.

13.2 Your content

You keep ownership of the Content you submit. By submitting it, you grant Motorpalz a worldwide, non-exclusive, royalty-free licence to use, host, store, reproduce, adapt for formatting, display and distribute that Content on and through the Platform (including in search results, link previews, shared links and QR pages) in order to operate, promote and improve the Services. This licence continues for a reasonable period after you delete Content to the extent needed for backups, legal compliance and content already shared.

You are solely responsible for making sure your Content does not infringe anyone's rights, including copyright, trademark and privacy rights.

13.3 Third-party content

Third-party names, logos and trademarks on the Platform belong to their owners and are used for identification only.

14. Privacy

Our Privacy Policy explains how we handle personal data and forms part of these Terms. By using the Platform, you confirm that you have read it.

15. Third-Party Services and Links

The Platform links to or relies on third-party services, such as WhatsApp, your phone's calling features, maps, vehicle-data providers and Sponsored Content destinations. We do not control these services, and your use of them is at your own risk and subject to their terms. We are not liable for loss or damage arising from third-party services or content.

Apple and Google are not sponsors of, and have no responsibility for, the Platform or its Listings.

16. Communications and Notifications

By creating an account you agree to receive service communications about your account, listings and activity, by email, in-app notices or push notification. Required account, security and listing emails cannot be turned off. Optional push notifications and any optional promotional communications can be managed in the app's notification settings, or by following instructions in the message.

17. Suspension and Termination

We may suspend or terminate your account, listings or Packages at any time, with or without notice, if you violate these Terms or our policies, engage in fraudulent, abusive or harmful activity, we are required to by law or a government authority, or we believe your use may harm other Users, our reputation or the Platform. In serious or repeated cases we may permanently ban you and withdraw your Package without refund.

If your account ends, you lose access to its listings, collections and data. We may retain certain information as described in our Privacy Policy. You may delete your account at any time in the app or by contacting support@motorpalz.com. The email address of a deleted account can be used for a new account only after the deletion is complete, as described in our Privacy Policy. Sections that by their nature should survive termination (including intellectual property, disclaimers, liability and governing law) continue to apply.

18. Disclaimers and Limitation of Liability

The Platform and Services are provided "as is" and "as available." To the extent permitted by law, we make no warranties, express or implied, about:

the accuracy, completeness or reliability of any Content, Listings or Sponsored Content;
the quality, safety, legality, ownership or condition of any vehicle, item, service or User;
uninterrupted, secure or error-free operation; or
fitness of the Platform for a particular purpose.

Your use of the Platform is at your own risk. To the fullest extent permitted by law, Motorpalz, its affiliates, team members and partners are not liable for indirect, incidental, special, consequential or punitive damages; loss of profits, data or goodwill; losses from unauthorized access, errors or interruptions; or losses arising from any transaction, communication or dispute between Users, or between you and an advertiser.

Our total liability to you for all claims relating to the Platform will not exceed the greater of (a) the total amount you paid to Motorpalz in the twelve (12) months before the event giving rise to the claim and (b) fifty thousand (50,000) CFA francs.

Some jurisdictions do not allow certain exclusions or limits, so parts of this section may not apply to you, and nothing in these Terms limits any liability that cannot be limited by law.

19. Indemnification

You agree to defend, indemnify and hold harmless Motorpalz, its affiliates, team members and service providers from claims, damages, losses and expenses (including reasonable legal fees) arising from your use or misuse of the Platform, your breach of these Terms or any law, your Content, or your dealings with another User. We may take control of the defense of any such matter, and you agree to cooperate.

20. Changes to These Terms and to the Platform

We may update these Terms from time to time. Updated Terms are posted on the Platform with a new "Last updated" date. For significant changes affecting your rights, we may also notify you by email or in the app. Your continued use of the Platform after the update means you accept the revised Terms. If you do not agree, stop using the Platform and delete your account.

We may also change how the Platform operates, or change its content, features or availability from time to time.

21. Reporting Illegal or Infringing Content

If you believe any Content is illegal or infringes your rights, report it in the app or send full details to support@motorpalz.com. If you own or are authorized to act for the owner of intellectual property that you believe is infringed, include enough information to identify the work, the infringing Content and your authority. We will make reasonable efforts to remove infringing Content within a reasonable time.

22. Beta Features

We may release features identified as beta, pilot or experimental. They are provided "as is", may contain errors, and may be changed, suspended or discontinued at any time without notice. We make no warranties about them.

23. Governing Law and Disputes

These Terms are governed by the laws of Burkina Faso, without regard to conflict-of-law rules.

Any dispute or claim arising from these Terms, the Platform or your use of the Services will be resolved:

first through good-faith negotiation between you and us; and
if not resolved, by the competent courts of Burkina Faso, which have exclusive jurisdiction.

To the extent permitted by law, you agree not to bring or take part in any class or collective action against Motorpalz or its affiliates. Nothing here removes any mandatory consumer rights you have under the law of the country where you live.

24. General

If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a right is not a waiver of it. You may not assign these Terms without our consent; we may assign them as described in Section 1. These Terms and the Privacy Policy are the entire agreement between you and us about the Platform.
